These Terms of Service ("Terms") govern the relationship between DPSOFT (PTY) LTD, a company registered in the Republic of South Africa under registration number 2022/777406/07 ("DPSOFT", "we", "us"), and any individual or entity ("Client", "you") that engages our services or uses our website at dpsoft.co.za.
DPSOFT provides technology services including custom software development, AI system development, business automation, web and mobile application development, and data analytics solutions. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate written Statement of Work (SOW) or Service Agreement signed by both parties.
DPSOFT does not: provide regulated financial services, hold or process client funds, act as a payment intermediary, offer investment advice, or provide regulated medical devices or health advice.
All service engagements begin with a signed Statement of Work. No work commences, and no payment obligations arise, until a written agreement is executed by both parties. Website content describing typical project outcomes is illustrative and does not constitute a guarantee or contractual commitment.
Fees are as agreed in the applicable Statement of Work. Unless otherwise agreed: a deposit of 50% of the project fee is due upon signing; the remaining balance is due upon project completion. Late payments accrue interest at the prime lending rate plus 2% per annum.
Upon receipt of full payment, DPSOFT assigns to the Client all intellectual property rights in custom-developed deliverables as specified in the SOW. DPSOFT retains ownership of pre-existing tools, frameworks, libraries, and proprietary methodologies. DPSOFT may reference the project type (not client identity) in its portfolio unless the Client requests otherwise in writing.
Each party agrees to keep confidential all non-public information disclosed by the other party. This obligation survives termination of the engagement for a period of 3 years.
Any statistics, metrics, or outcomes described on this website (including references to cost reductions, efficiency improvements, or revenue impacts) are based on prior project experiences and are provided for illustrative purposes only. They do not constitute a guarantee of results for any future engagement. Individual results will vary based on client context, industry, data quality, and implementation scope.
To the maximum extent permitted by applicable law, DPSOFT's total liability to the Client for any claim arising under or related to these Terms shall not exceed the total fees paid by the Client for the specific service giving rise to the claim in the 3 months preceding the claim.
DPSOFT shall not be liable for: indirect, incidental, or consequential damages; loss of profits or revenue; data loss; or third-party claims, even if DPSOFT has been advised of the possibility of such damages.
Any uptime SLA or support commitments are defined in the specific SOW or support agreement. General website descriptions of "99.9% uptime" refer to infrastructure-level targets achievable with appropriate hosting configurations and do not constitute a blanket guarantee for all engagements.
Where DPSOFT builds WhatsApp automation solutions for Clients, the Client is responsible for ensuring their use of the WhatsApp Business API complies with Meta's Business Terms and Acceptable Use Policy. DPSOFT provides technical implementation only and does not assume responsibility for the Client's compliance with messaging regulations applicable in their jurisdiction.
These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the South African courts, without prejudice to DPSOFT's right to seek urgent relief in any competent jurisdiction.

DPSOFT (PTY) LTD provides custom technology services (software development, AI systems, automation). Because our work involves significant upfront investment in design, planning, and engineering, our refund policy reflects the nature of these professional services.
Project deposits (typically 50% of the agreed project fee) are non-refundable once the discovery and design phase has commenced. This is because DPSOFT allocates team resources and begins substantive work immediately upon payment. The deposit amount and conditions are confirmed in writing before any payment is made.
If a Client cancels a project after work has commenced:
All deliverables completed up to the cancellation point will be provided to the Client upon receipt of applicable fees.
In the rare event DPSOFT cancels a project due to circumstances within our control, a full refund of any unearned fees will be issued within 14 business days.
If you believe deliverables do not meet the specifications agreed in the SOW, you must notify us in writing within 10 business days of delivery. We will assess the dispute and, where applicable, resolve it through corrections, scope adjustment, or partial refund at our discretion. Disputes are governed by South African law.
